YEARS OF AGE OR OLDER AS OF July 15th, 2008 AND A LEGAL RESIDENT OF AND CURRENTLY RESIDING IN ONE
OF THE 50 UNITED STATES OR D.C. THIS CONTEST WILL BE CONSTRUED AND EVALUATED ACCORDING TO U.S.
LAW.
WuChess Video Contest Rules
Sponsored by WuChess (herein "Sponsor")
HOW TO ENTER THE CONTEST: Entry into the Contest begins at 8:00 a.m. Eastern Time ("ET") on July 15, 2008 and ends
at 8:00 p.m. ET on August 31, 2008] (the "Contest Period"). You may enter the WuChess Video Contest (herein "Contest")
by first going to www.youtube.com ("Web Site") and following the on-screen instructions for registering with YouTube™. In
order to enter you must subscribe to the WuChess YouTube™ Channel located at www.youtube.com/wuchess and all
entries must be a "Video Response" to the RZA - WuChess Video Challenge announcing the Contest. Participation in this
Contest is subject to, and all entrants must comply with, all policies, terms and conditions imposed by YouTube™, as well
as those set forth in these Official Rules. All registration/subscription information must be completed in full. Once you have
registered, follow the on-screen instructions for uploading the video that you have created for entry into this Contest. If the
video you have submitted complies with these Official Rules and those policies, terms, and conditions imposed by
YouTube™, it will be posted and may be viewed by anyone visiting the site. Sponsor will not acknowledge receipt of such
required information. For purposes of the Contest, you must create a video depicting "Your Best Chess Rhyme". Your video
must comply with all terms, conditions and specifications set forth in these Rules. Your video must be no shorter than thirty
(30) seconds in length and longer than two (2) minutes in length, with audio (if any) in English, and must be in .avi, .mov,
or .mpg format. Except as provided herein, your video may not include any intellectual property of third parties including
copyrighted material (including but not limited to music) and third-party trademarks. You need not feature WuChess
products or trademarks in your video; if such products/trademarks are used, they will have no bearing on the judging
process described below. Entries must be suitable for publication/broadcast in the opinion of the Sponsor. Any publication/
broadcast is at Sponsor's sole discretion. ANY VIDEO CONTAINING DANGEROUS, OBSCENE, INDECENT, VIOLENT,
SEXUALLY EXPLICIT, DISCRIMINATORY OR OTHER MORALLY OR LEGALLY OBJECTIONABLE DEPICTIONS OR
MATERIAL, IN THE OPINION OF THE JUDGES OR THE SPONSOR, WILL RESULT IN DISQUALIFICATION OF THE
CORRESPONDING ENTRY (AND REMOVAL OF ENTRY FROM THE WEB SITE) AND DISQUALIFICATION OF THE
ENTRANT WHO SUBMITTED IT. SPONSOR'S FAILURE TO REMOVE ANY SUCH ENTRY SHALL NOT BE CONSTRUED
AS CONFERRING ELIGIBLE STAUTS UPON THE ENTRY OR ENTRANT. By participating in this Contest, each entrant (or
his/her parent or legal guardian if entrant is 18 but deemed a minor in his/her state of residence) acknowledges and agrees
that neither Sponsor, its parent, affiliated or subsidiary companies, advertising, promotion and judging agencies, nor their
respective shareholders, directors, officers, employees or agencies will have any liability whatsoever for any injuries, losses
or damages of any kind, including but not limited to bodily injury or death, caused by or in connection with participation in
this Contest. Completed entries must be submitted by 8:00 p.m. ET on August 31st, 2008. Proof of submission does not
constitute proof of receipt. Videos may include more than one person, but the account holder of the YouTube account from
which the video was entered will be considered both the owner of the video and the Contest entrant. Entrants may be
required to supply proof of consent from any other person appearing in their entries to the use of such person's image in the
entry. All Entries become the property of Sponsor and none will be returned.
ELIGIBILITY: This Contest is open to legal residents of the 50 United States and the District of Columbia who were 18 years
of age or older as of July 15th, 2008 . Employees of Sponsor, its parent company, affiliates, subsidiaries, distributors, sales
representatives, advertising and promotion agencies, and all other service agencies involved with the design, execution or
fulfillment of this Contest, and members of the immediate families (defined for these purposes as including spouse, parents,
step-parents, children, step-children, siblings, step-siblings, and each of their respective spouses) or households (whether
related or not) of any of the above are NOT eligible to participate.
JUDGING: Eligible entries will be judged by a qualified panel of judges based on the following; Creativity, Originality and
Uniqueness in the Chess Rhyme. The entry receiving the highest score based on the criteria listed above will be deemed
the Grand Prize winner (subject to verification of eligibility). Winners will be determined on or about September 3rd, 2008. The
decisions of the judges and the Sponsor will be final and binding on all matters relating to this Contest. In the event of a tie,
the entries involved in the tie will be re-judged by an additional qualified judge who will serve as a tiebreaker and who will
evaluate entries according to the criteria listed above. In case of a tie involving a Wisconsin resident, duplicate prizes will be
awarded.
PRIZES: One (1) Grand Prize will be awarded, consisting of (3) three WuChess website annual subscriptions and $150
awarded as a coupon code which may be used on the http://store.wuchess.com website. Prizes are not transferable. All
prizes will be awarded provided they are properly claimed in accordance with these Official Rules and a sufficient number
of eligible entries is received. Limit one prize per household. If a prize winner is 18 but deemed a minor in his/her state of
residence, the prize will be awarded on behalf of the minor to his/her parent or legal guardian, who must comply with the
prize claim requirements set forth below.
GENERAL TERMS & CONDITIONS: All potential winners will be notified by email. If a potential Winner is an eligible minor
in accordance with these Rules, a parent or legal guardian must sign and return all documents required for verification.
Each potential winners (or his/her parent/legal guardian if potential winner is an eligible minor) must execute and return an
affidavit of eligibility, liability release and, except where prohibited, a publicity release, within ten (10) days of receipt of
initial written notification or prize will be forfeited and an alternate potential winner will be selected on the basis of the
criteria stated herein. If prize notification or any prize is returned as undeliverable, the corresponding potential winner will
be disqualified and his/her prize will be forfeited, and an alternate winner may be selected on the basis of the criteria stated
herein.
By entering this Contest, all entrants agree that neither Sponsor, its parent, affiliated or subsidiary companies, advertising,
promotion and judging agencies, nor their respective shareholders, directors, officers, employees or agencies will have any
liability whatsoever for any injuries, losses or damages of any kind caused by or in connection with any prize or resulting
from participation in this Contest or from acceptance, possession or use of any prize or participation in any prize-related
activity, or use by Sponsor of the entry in any manner. Acceptance of a prize will constitute and signify the winner's
agreement and consent (or that of his/her parent or legal guardian if winner is an eligible minor) to the Sponsor's and/or the
Sponsor's assignees' use of the winner's Entry, winner's name, photograph, likeness and/or prize information for
promotional purposes in commerce and in all media worldwide now known or hereinafter developed without limitation and
without notice or further compensation. Submission of an entry grants Sponsor and its agents the right to publish, use,
adapt, edit and/or modify the entry in any way, in commerce and in any and all media worldwide now known or hereinafter
developed, without limitation and without notice or consideration to the entrant. Pursuant to the above, entrants (or their
parents/legal guardians, if applicable) acknowledge and agree that Sponsor may use any submitted video in actual
commercial advertisement(s) for its products, but is under no obligation to use any entry, including winning entries, in such
a manner. Submission of any entry further constitutes the entrant's (with his/her her parent's or guardian's consent, if
applicable) assignment and transfer to the Sponsor of any and all rights, title, and interest in and to the entry, including,
without limitation, all intellectual property rights. If for any reason this Contest is not capable of running as planned by any
cause which, in the sole opinion of the Sponsor, corrupts or affects the administration, security, fairness, integrity, or proper
conduct of this Contest, Sponsor reserves the right, at its sole discretion to cancel, terminate, modify, or suspend this
Contest and determine winners, based on the criteria stated herein, from eligible, non-suspect entries received prior to the
time such action was taken, or as otherwise deemed fair and equitable by Sponsor. Winners are solely responsible for any
local, state, or federal income taxes on prizes. All federal, state, and local laws and regulations apply. Entries (including the
videos therein) must be the sole and original creation of the entrants who submit them; may not have won previous awards;
and must not infringe upon any other person's rights. The right to submit or use an entry must not be restricted in any way.
Modifying, enhancing or altering a third party's preexisting work does not qualify as entrant's original creation. By entering,
entrants agree that all issues and questions concerning the construction, validity, interpretation, and enforceability of these
Official Rules, entrant's rights, and obligations, or the rights and obligations of the Sponsor in connection with this Contest,
will be governed by, and construed in accordance with, the laws of the State of Nevada, without giving effect to any choice
of law or conflict of law rules. Sponsor reserves the right to take such action as it deems necessary to enforce these Official
Rules and ensure the fair operation of this Contest, including without limitation barring entrants who do not comply with
these Official Rules. By entering, entrants consent to the jurisdiction and venue of the federal, state, and local courts located
in Nevada.
LIMITATIONS OF LIABILITY: In the event of a dispute regarding the identity of an entrant, the corresponding entry will be
deemed to be made by the authorized account holder of the YouTube account from which the entry was submitted. Neither
Sponsor nor its agencies are responsible for lost, interrupted or unavailable satellite, network, server, Internet Service
Provider (ISP), Website or other connections availability, accessibility or traffic congestion, or miscommunications, or failed
computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled,
delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors
of any kind whether human, mechanical, electronic or network, or the incorrect or inaccurate capture of entry or other
information or the failure to capture, or loss of, any such information.
Neither Sponsor nor its agencies are responsible for any incorrect or inaccurate information, whether caused by Website
users, or by any equipment or programming associated with or utilized in this Contest and assume no responsibility for any
error, omission, interruption, deletion, defect, or delay in operation or transmission, communications line failure, theft or
destruction or unauthorized access to, or tampering with or hacking of Website. Sponsor reserves the right, at its sole
discretion, to disqualify any individual it finds may be tampering with the entry process or operation of this Contest or
Website, or may be acting in violation of the terms of the Website, or may be acting in a non-sportsmanlike or disruptive
manner, or with intent to threaten, abuse, or harass any other person. Any attempt to deliberately damage any Website or
undermine the legitimate operation of this Contest may be unlawful and subject to legal action by Sponsor or its agents.
